The obvious downside would be Axiron sales not being as good as hoped. Remember what happened with Evamist, which was supposed to be a $100m/year product (with I think high single-digit royalties to Acrux at that level).
Acrux's current valuation largely rests on Axiron milestones and anticipated royalties, so any sign of problems there won't be good.
I'd like to think the rest of the pipeline was just as valuable, but there's been no sign of any progress with that (other than getting the Luramist rights back) for ages.
