Mgt is worried about the shareholder revolt on HC. Of course, it was too much to ask of them to have put this plea in the resolution notice sent out to shareholders in the first place. Perhaps it was deemed not necessary by the high and mighty to keep the lowly shareholders informed of the reasons for consolidation. Now, after the revolt, the tune has changed. I'm still voting no. I might change my mind if they decide to take a substantial pay cut in line with the dismal results so far.
