That leaves 90.8% that can be voted but 44% (36% and 8%) of the total are held by Ray Catelan, directors and family. That leaves 46.8% uncommitted votes. So it is possible to win but tough getting that level of support.
46.8%-44%= 2.8% = 940,000 ord shares. If this number of shares vote with directors vote is lost. From Frith article excluding directors & family shares 1.1 mill ord and class A shares were against the wind up.
You have a fighting chance. Guess all shareholders will be hearing from you with reasons why directors should be removed.
