Scheme of Arrangement:

my understanding is that the offer is to be carried out via a scheme of arrangement.... which means that a special resolution is required, whereby 75% of shareholder must approve of this transaction in an EGM.

This is not an on market or off market takeover where offer is made directly to individual shareholders and the bidder will be able to buy shares directly from individual shareholders. It?s all or nothing for Hanlong, either get 100% in SDL or not at all.
