That looks like an incorrect interpretation to me!! The proposal from STO is complete. And when the clause says they don't have to announce when the information is to do with an incomplete proposal .. that is talking about when ESG (or any company) might receive a proposal but they don't have to release the details because negotiations are ongoing (i.e. it may never become a firm proposal). I'm sure ESG has had a number of thesee over time and they have not had to announce them.

Not relevant IMHO to whether they have a disclosure obligation to inform shareholders of data/information that is in their possession on the upgrade.
