Upon de-listing the company will still be a public limited liability company, that is, there will be no changes to its legal structure, only its shares will cease from being traded in the stock exchange or exchanges in this case. Conversion from one type of company to another is regulated and my feeling or intuition is that it will not be an easy task as it may require more than a simple majority vote (protection of minority shareholders).

As to the issue of dilution, there are some lawyers out there claiming to be specialists in such matter but in the end it may cost a lot in terms of effort, money and time.
