    It is SAFE to appoint The Chairman as LONG as you VOTE AGAINST both motions -- if you vote you "ABSTAIN" or if you DON'T tick ANY boxes, the Chairman will vote FOR both items...

    So be careful, if you USE the Chairman, you MUST tick the "AGAINST" boxes then he will vote "AGAINST" on your behalf.. ;)
