I don't know who is underwriting the Retail Offer, other than RIO. I suspect it will be mainly RIO, so they will just pay the $1.53. Why pay more?
They have also warned the Retail holders to not expect the $2 clearing price, as they cannot guarantee it for the Retail Offer.
To avoid disappointment after, I would take up the rights. Maybe you can go 50 50 so you won't be disappointed either way.
