Hope I'm not boring anyone but just thought of another analogy type of summary:
Thinking this is a bit like the old horse and cart story with Uley being the horse and Mega the cart.
Uley is a potential company maker for Mega, a potential cash cow (horse) that could leverage their tertiary assets (proprietary technology, marketing skills etc) into a substantial company.
Mega is the cart with all the upper structure bright and shiny (tertiary assets) but with the small problem that they built it with no wheels (cash, assets with marketable value, Lear jets, Lambos etc).
Mega are currently scrambling around trying to beg, borrow or steal a set of wheels so they can prove to the horse trader that he'll get his money back and hopefully a bit more.
If Mega can just find those wheels we'll all be off to market.
