Both men went down once during the torrid fight in Manchester's packed MEN Arena, though English referee Dave Parris ruled on each occasion that a low blow was responsible and no knock down was scored.
Hatton did land several legitimate body shots, though Parris had to warn each man for punching low.
Tszyu gave the new champion generous praise.
"I'm not saying it's the end of my career, maybe it is, maybe it isn't, but I'm saying today I lost to the better fighter," Tszyu said.
"I'm a very strategical fighter, I planned a lot of things for this fight, but today Ricky was better than me everywhere."
