They didn't have a working relationship with the Mayala and couldn't come to an agreement with them. Cliffs agreed to sell to PLV because they were the only ones who seemed to be able to gain the trust of the indigenous community. Cliffs keep some shares and get a royalty from sales if PLV are successful. Win-Win... or at least better than holding exploration leases over an asset that you're never going to get to mine.
