Md, I am not sure AGS have to prove deception so much as that H/Q did not act in good faith or openly and honestly. In many cases they are the same thing but do have differences. In this case you have a JV where acting fairly and in good faith is probably important.
As far as I know this is an action in equity and it is a different proof. If you think about some other actions in M&D they are, for example, small shop keepers in large shopping complexes. In these cases it is more that the owners actions were 'not of good conscience' and had a negative effect on the shop keeper.
If any one has a different view I am open to it but that is my understanding of the matter.
