The tax office will not see this as a 5% Capital raising as the Issue price is way above the actual price.
The difference here is that Linc are selling something and NOT just raising cash.
I have already spoke with Linc regarding this and they have already agreed with me that they will have to pay some tax if the deal goes through.
You might be better off taking up being a clown rather than an accountant if you can't see that !
