ALLOT: FIN: Shares - Issue of share options
Finzsoft Solutions Limited (NZX Code: FIN) ("the Company") - Issue of options
pursuant to the Company's employee share option plan
Pursuant to NZX Listing Rule 7.12.1, the Company provides to NZX the
following details in respect of an issue of options:
(a) Class of Security: Unlisted options to subscribe for ordinary shares in
the Company. ISIN: N/A.
(b) Number issued: 120,000.
(c) Nominal value and issue price: There is no nominal value or issue price
for the options.
(d) Payment terms: No consideration is payable for the issue of the options.
The exercise price of each option is $0.38.
(e) Amount paid up: N/A.
(f) Percentage of total class issued: 30.7% (of employee share option plan
options on issue.
(g) Reason for issue: Issued under the Company's employee share option plan
to assist key staff in becoming shareholders of the Company.
(h) Specific authority for issue: Board Resolution.
(i) Terms of issue: The options give holders the right to subscribe for
ordinary shares in the Company on a one for one basis. Ordinary shares
issued upon exercise of an option will rank equally with the existing
ordinary shares on issue in all respects The options are exercisable on or
after the earlier of: (i) 1 December 2013; (ii) the date a full takeover for
the Company's securities achieves 90% acceptance under the Takeovers Code and
is unconditional; and (iii) (if the Company agrees) upon the death,
incapacity, redundancy or retirement of the holder.
(j) Total number of options in existence after issue: 390,842.
