shares:

(c) Nominal value/issue prices: NZ$2,000,003 ($4.1202 per share)

(g) Reason for issue: Issue as part of transaction regarding Abano Dental
Limited's acquisition of shares in Dental Investments Holdings Limited.

directors' resolutions and certificates of the Company.

existing fully paid ordinary shares.
