METAL STORM LIMITED – REQUEST FOR VOLUNTARY SUSPENSION UNDER LISTING
RULE 17.2
Metal Storm Limited (Metal Storm or Company) requests an immediate voluntary suspension of
its ordinary shares, secured convertible notes and interest bearing notes until announcement by
the Company.
In accordance with Listing Rule 17.2, I advise that:
a) Metal Storm entered an Umbrella Deed with Australian Special Opportunity Fund LP
(ASOF), Luxinvest Capital Advisors SA (Luxinvest) and Hopgood Ganim on 18 April
2012 and a related Subscription Agreement with Luxinvest. The Company sought a
trading halt on 18 July 2012 to consider its options as Luxinvest was not in a position to
complete the Luxinvest Agreement at that stage. The Luxinvest Agreement did not
complete as required on 18 July 2012. The Luxinvest Agreement and the Umbrella Deed
are interconditional. On 19 April 2012, ASOF terminated the Umbrella Deed because the
Luxinvest Agreement did not complete. The Company is now considering its options in
light of the termination of the Umbrella Deed;
b) Metal Storm is seeking the suspension to maintain an orderly market in the trading of the
Company’s securities while the Board considers the Company’s position and;
i. Metal Storm requests the suspension until it makes an announcement to the
market regarding the outcome of the Board deliberations;
ii. Metal Storm expects the suspension to last for no more than 3 business days,
and;
iii. Metal Storm is not aware of any reason why the suspension should not be
granted.
