You don't need a 3rd party to create a stalemate if you have a blocking stake. The issue is who can afford to stake it out. Who needs to move on.
If the board and hedge funds (which themselves could amount to 35%) don't budge, there is no way China can take over assuming there are any retail holders left who would jump ship if the board is resolute.
The whole thing now comes down to a tug-of-war between the hedgies and China.
As Confucious says, Chinese takeovers are like a box of cholocates. You never know what you are going to get.
