In April 2012, CRP entered into a convertible loan agreement (CLA) with
Subsea Investments II, LLC (Subsea). Under the CLA, Subsea has advanced to
the Company NZ$3,373,518.37 (Balance). The Company has today obtained the
approval of shareholders in accordance with the Takeovers Code to enable
conversion of the Balance by issuing 16,867,592 shares to Subsea at a
conversion price of $0.20 per share.
On 20 June 2012, the Company converted $482,243.80 advanced by Subsea under
the CLA to shares at $0.20 per share to allot 2,411,219 Shares.   On 27 July
2012, the Company converted $792,475.20 advanced by Subsea under the CLA to
shares at $0.20 per share to allot 3,962,376 shares.
