 All resolutions proposed at the Annual Meeting held in Auckland on Friday 2
November 2012 were passed by a poll vote. Details of the resolutions were as
follows:
1. Re-election of Michael Robin Parsell as a Director.
     Votes for:  293,183,816
     Votes Against: Nil
2. Re-election of Ann Christine Lady Hill as a Director.
    Votes for: 292,861,734
    Votes against: 274,232
3. Election of Gary Warwick Smith as a Director.
    Votes for: 292,582,976
    Votes against: 588,840
4. The Directors to be authorised to fix the remuneration of the auditors for
the ensuing  year.
    Votes for: 292,450,858
    Votes against: 699,638
