Notice pursuant to FSM Rule 6.8.1
Pursuant to FSM Rule 6.8.1, please be advised as follows:
a) Class of Security: Co-operative shares
ISIN: NZFCGE000157
b) Number of Securities issued: 89,808,526
c) Issue price: NZ$5.50 per co-operative share
d) Payment: Cash
e) Amount paid up: Fully paid
f) % of the total Class of Securities issued: 5.55% (of the total number of
co-operative shares on issue post completion of the issue)
g) Reason for issue: Fonterra issued 89,808,526 co-operative shares to
Fonterra
Farmer Custodian Limited ("Custodian") in order to facilitate the
implementation of Trading Among Farmers. These co-operative shares have been
issued to the Custodian as follows:
a. 89,698,526 co-operative shares on the terms of the Custody Trust Deed for
the Fonterra Economic Rights Trust under which the Custodian holds Economic
Rights in co-operative shares for New Zealand Guardian Trust Company Limited,
as the trustee for the Fonterra Shareholders' Fund; and
b. 110,000 co-operative shares as Initial Inventory for the Registered Volume
Provider, on the terms of the RVP Custody Deed.
