TZ Limited enters into MOU for acquisition of leading Smart Material Supplier
The Directors of TZ Limited advise that they have secured a 120 day exclusivity option to negotiate
terms to acquire a leading Smart Materials supplier and technologist.
Smart materials actuation is a fundamental enabling technology for the development of intelligent
fastening devices. Telezygology Inc (TZ Inc) uses these materials to provide the actuation means to
manipulate intelligent fastening mechanisms.
The management of TZ Inc believe that the acquisition of a smart materials supplier is strategically
important because it;
1. secures TZ Inc’s competitive position as the world leader in Intelligent Fastening Technology
(IFT), creates a clear market differentiation and protects against future competitor response;
2. provides intellectual property, know-how, design and engineering of emerging and advanced
smart materials technology for new intelligent fastening actuation developments, which will
enable access to high performance and high duty cycle applications;
3. forecast demand for IFT equates to demand for smart materials – ensures competitive and ongoing
volume supply of smart materials and protects against industry consolidation of smart
material supply sources;
4. enables customized design of proprietary actuators which in turn increases the intrinsic value to
IFT adopters;
5. vertically integrates for a new revenue stream through core material supply;
6. adds critical competencies needed for technology development; and
7. ultimately accelerates the commoditization of IFT through reduced cost and improved smart
materials actuation methods.
The targeted company also produces medical grade smart materials for vascular implants and stents
which has been represented to TZ Inc as a significant growth opportunity with minimal capital
investment. The acquisition will also provide an avenue for TZ to exploit existing IP in the medical
device arena.
