Morrison & Co Funds Management Limited ("MCFM"), a wholly-owned subsidiary of
MCO, entered into an agreement with UBS New Zealand Limited dated 14 February
2013, under which UBS New Zealand Limited agreed to manage and underwrite the
sale of the shares (attached). The shares were sold at a price of NZD2.76 per
share. Settlement of the sale is expected on 20 February 2013. See
substantial security holder notice filed by H.R.L. Morrison & Co Limited
dated 15 February 2013.
