It is negative pomboy. Shareholders have few protections. One of those is a restriction on mgt issuing shares. They are asking shareholders to remove that restriction and with no floor on the price that the stock can be placed. That is as bad you can get in terms of giving up rights which is what this is about. I would say in return they are offering to give up their own cash salaries for shares. At the meeting they will be talking about the realities of trying to operating that hold co with $500,000 cash left. I can't really see a positive side.
