    Promissory Notes are basically debt but the terms are more definitive.

    I assume that the Promissory Notes will be against the asset of the company meaning that if AYN stuffs up then control of the asset/company will be taken away from shareholders.

    I can basically see a backdoor takeover from the new group coming up.
