why does china have to approve in global m&a?

    Question: Why does China have to approve the ADM / Graincorp takeover?

    ADM is a US company, Graincorp is Australian. Why does China have to get involved, and what legal powers does it hold. I understand it is a common regulatory approval that needs to be met, but why? and what would happen if China did not approve?
