I think it means that they sold all of the assets in PDT (i.e. equipment, IP etc) rather than the shares in the PDT company.
Generally when you buy or sell a business you have a choice between an asset or a share sale.
Share sales are easier, but the acquirer runs the risk of unrecognised liabilities transferring with the company because you get the whole lot. With an asset sale you can define specifically what assets (and liabilities) you are acquiring and the shell company is left behind.
Also the tax situation might influence the decision (i.e. tax losses and stamp duty).
