Results of resolutions at Annual Meeting
All resolutions proposed at the Annual Meeting held in Auckland on Wednesday
30 October 2013 were passed by a poll vote. Details of the resolutions were
as follows:
1. Re-election of Gary John Gwynne as a Director.
Votes for: 286,333,574
Votes Against: 3,000
2. Re-election of Emma Jane Hill as a Director.
Votes for: 286,293,774
Votes against: 47,800
3. The Directors to be authorised to fix the remuneration of the auditors for
the ensuing year.
Votes for: 286,270,227
Votes against: 70,847
4. To increase the maximum aggregate remuneration payable to the company's
directors from
NZD570,000 to AUD650,000, being an increase of approximately NZD161,158,
which amount may be divided between the directors as the Board deems
appropriate.
Votes for: 66,379,323
