The issue of New Shares pursuant to the Offer is conditional on the Company being able to raise the minimum subscription under the Offer and the Company being admitted to the Official List of the ASX. If, for any reason, the minimum subscription under the Offer is not achieved or the Company is not admitted to the Official List, the Offer will be discontinued, no New Shares will be issued under the Offer and all Application Monies will be returned. T he Minimum Subscription under the Offer is $15.0 million. No New Shares will be issued until the Minimum Subscription has been received under the Offer and the above conditions have been satisfied. If the Minimum Subscription is not received within four months after the date of this Prospectus, the Company will either repay all Application Moneys to the Applicants or issue a supplementary or replacement Prospectus and allow Applicants one month to withdraw their Applications and be repaid their Application Moneys.
