In accordance with the terms of the pre-bid acceptance agreement entered into in connection with
the Offer, Ampella’s largest shareholder, Taurus Funds Management Pty Ltd, has accepted the
Offer. As stated in Ampella’s Target’s Statement, the Directors of Ampella have also accepted the
Offer in respect of Ampella shares they own or control.

Target Statement on page 6 advises that each director intends to accept the offer in respect of the shares they own.

So I would think yes it does include directors shares.
