there are many possibilities, but the most simple explanation is along these lines.
you have 100000 options and 100000 shares
suddenly the oppies are in the money that were given to you
you sell say 50000 shares to pay for 70000 options,.
you are now in a better position, and you might have taken 5k out in the deal to go to bali.
I could sell that to the partner easy.
