Amended Annual Report on Form 10-K for 2012 and Quarterly Report on Form 10-Q
for 1Q13
Diligent filed today amended periodic reports with the U.S. Securities and
Exchange Commission ("SEC"). These reports include an amended Annual Report
on Form 10-K/A for the fiscal year ended December 31, 2012, and an amended
Quarterly Report on Form 10-Q/A for the fiscal quarter ended March 31, 2013.
In the reports, Diligent restates its previously issued financial statements
and financial data and amends its previously filed management's discussion
and analysis of the Company's financial condition and results of operations
and other relevant disclosures for the periods presented in the reports.
By filing these amended reports with the SEC, the company has completed its
restatement process. Diligent intends to file its 2013 Annual Report with
the New Zealand Stock Exchange by April 30, 2013. To become current in its
filings with the SEC and the New Zealand Stock Exchange ("NZX"), Diligent
needs to file its Quarterly Reports on Form 10-Q for the fiscal quarters
ended June 30, 2013 and September 30, 2013, and its Annual Report on Form
10-K for the fiscal year ended December 31, 2013. Diligent is working to
make these filings as soon as practicable.
