Independent Directors - Closing date for Director Nominations

In accordance with Listing Rule 3.3.1 b(c) the Board confirms that it
considers Richard Aitken, Sam Knowles and Geoff Swier to be Independent
Directors of the Company.
In accordance with Listing Rule 3.3.2 TrustPower advises that the closing
date for Director nominations is 27 May 2014 at 5pm.
Nominations must be made by an existing TrustPower Shareholder able to attend
and vote at the Annual Meeting of Shareholders.
Nominations should be forwarded to the Company Secretary and should include a
brief resume of the nominee and be signed by both the proposing Shareholder
and the nominee.
