    Hey BG,
    I like the way you think. But the company wouldn't be able to make such a share issue unless all the buyers of the placement were s708 registered (sophisticated investors).... And SI's don't usually dabble in $10-15k increments, so the co may as well go direct to the SI which is what they've done here with the convertible note.
