For the purpose of Listing Rule 7.12.1 and 7.12.9 of the NZSX Listing Rules,

Reasons for the issue
Issue of Ordinary Shares upon exercise of vested options under the Xero
Limited (USA) Equity Incentive Scheme; 33,333 of the options were granted as
part of the remuneration package of Craig Elliott in his role as US Advisor;
1,971 of the options were granted as part of the remuneration package of US
based employees
