Acquisitions

Acquisition of Café 2U
On 28 August 2014, the Group announced its entry into a Sale & Purchase Agreement (SPA), subject to normal contractual
terms, for the acquisition of 100% of the issued share capital of Café 2U International Pty Ltd (and associated entities) for cash
consideration of circa $15 million.
Café 2U International Pty Ltd is the owner and franchisor of the Cafe2U Brand System consisting of circa 236 mobile coffee vans.
Settlement is scheduled to be completed in September 2014, with control of the business and intellectual property transferring
to the Group at that time.
Acquisition of La Porchetta
On 28 August 2014, the Group announced its entry into a conditional Sale & Purchase Agreement (SPA), subject to normal
contractual terms and finalisation of due diligence enquiry to its satisfaction, for the acquisition of 100% of the issued share
capital of La Porchetta Holdings Pty Ltd (and associated entities) for cash consideration of circa $16.3 million.
La Porchetta Holdings Pty Ltd is the owner and franchisor of the La Porchetta Brand System comprising circa 70 casual dining
restaurants. Settlement is scheduled to be completed in October 2014, with control of the business and intellectual property
transferring to the Group at that time.
