A case that may interest fellow SBR holders is the case between Over Fifties Group vs Becton Funds Management. The below is my simple understanding of the case only, and should not be relied upon. I remember reading the case in a newspaper over 5 years ago and haven't done any dedicated reading of it since..

My understanding of this case was that the Over Fifty Group (a managed fund for seniors) owned units in 2 Becton Property Managed Funds. Becton Property Group (A Property Developer based in Melbourne) essentially held the management of these 2 funds via its subsidiary 'Lachlan REIT'.

Over Fifty Group (as a unitholder) were not happy with the performance with the manager/responsible entity, and in addition were concerned with the conflict of interest Lachlan REIT had, and as such sought to remove Lachlan REIT as the Responsible Entity of the 2 Managed Funds it owned units in.

Becton Property Group pursued to use its voting power to block this (via its ownership of units in the two funds), but the courts ruled that it was a conflict of interest, and they were not able to vote on this resolution to remove Lachlan REIT as responsible Entity.
