To the first paragraph I have quoted:
The "Rebels" approached RC and asked him to join them as a new board member (with JH to say on) and RC replied that he had a conflict of interest. I can only think of one way he could have had a conflict. And as I understand it, the Rebel began that approach before lodging their EGM request.
To the second paragraph:
Buddy, as you know, none of the votes the rebels supported got up. Even though they did change their vote on one (important) vote, as you know, we did the maths at the time, and it didn't matter which way those votes went - they weren't enough to make a difference. So, given the apparent ineffectual* results from the Rebels, why do you blame them so much, and why would you want them to cause such difficulty again?
*Given that the Rebels wanted the Chairman and most of the board to be replaced, and that has now happened, perhaps they were successful, to some extent.
