 All resolutions proposed at the Annual Meeting held in Auckland on Wednesday
29 October 2014 were passed by a poll vote. Details of the resolutions were
as follows:
1. Re-election of Sir Richard Michael Hill as a Director.
     Votes for:  294,903,537
     Votes Against: 11,547
2. Election of Robert  Ian Fyfe as a Director.
    Votes for: 294,904,084
    Votes against: 8,000
3. The Directors to be authorised to fix the remuneration of the auditors for
the ensuing year.
    Votes for: 294,865,084
    Votes against: 50,000
