DIRECTOR
NOT PRICE SENSITIVE
REL: 1004 HRS The New Zealand Refining Company Limited
DIRECTOR: NZR: Board changes for Refining NZ
After ten years as an Independent Director and six years as Chairman, I am
announcing my decision to retire from the Refining NZ Board at the Annual
Meeting of shareholders next April. Much has been achieved by the Company
since my appointment and I am proud to have been associated with the many
developments at the refinery.
Appointment of Independent Director
As part of the Refining NZ Board succession plan a New Zealand wide search
was undertaken for an Independent Director to take over that role from me. On
behalf of the Board I am pleased to announce that Simon Allen has been
appointed as an Independent Director of the Company.
Simon Allen is a professional director and consultant with 30 years'
experience in the Australian and New Zealand Financial markets. He joins the
Refining NZ Board having chaired the Financial Markets Authority since its
establishment in 2011. He was the founder and former Managing Director of ABN
AMRO New Zealand Limited, and Chairman of NZX Limited (NZX) from 2001 until
2008. He is currently the Chairman of Crown Fibre Holdings Limited, and
Auckland Council Investments Limited.
Simon brings a wealth of experience to the Independent Director role. His
career to date has been marked by strong leadership and strategic insight
running a successful investment bank business. Helping to transform the NZX
has seen him take a lead role in negotiating with the Crown and make a major
contribution on governance issues. The Board believes Simon's strong business
experience will complement that of his fellow Directors and that he will play
a valued role in helping to steer the Company through what is currently, a
difficult operating environment.
Appointment of ExxonMobil director
I am pleased to announce the appointment of Stuart Brown to fill the
ExxonMobil director role made vacant by the resignation in November of
director, Kim MacMillan. Stuart Brown is a qualified solicitor specializing
in tax law. He has worked in private practice, as a senior tax advisor for
Esso Australia and since 2000 has held senior tax roles in Exxon Mobil. He is
currently ExxonMobil Tax Manager with responsibility for the Company's tax
affairs in Australia, New Zealand, Papua New Guinea and other Pacific
islands.
I would like to thank Kim for her professional contribution over the past
four and half years, and at the same time, welcome Stuart to the Refining NZ
Board.
