WAIVER RECEIVED FROM SGX FROM SEEKING
SHAREHOLDERS’ APPROVAL OF AMENDMENT TO
CONVERTIBLE NOTES
• Grant of waiver received from the SGX from seeking Shareholders' approval in connection
with the implementation of the amendments to the conditions of the convertible notes.
• Key terms of amendments: US$50 million redemption to reduce the principal amount of
outstanding Notes from US$200 million to US$150 million, the existing note holders put
option to move from 10 April 2015 to 10 April 2016, and a call option exercisable by the
Company up to 10 April 2016.
Linc Energy Ltd (SGX:TI6) (OTCQX:LNCGY) is pleased to advise that, following detailed
consultation with the Singapore Exchange Securities Trading Limited (SGX), the SGX has
granted a waiver to the Company from convening an extraordinary general meeting to seek
approval of Shareholders in relation to the proposed US$50 million reduction and amendments to
the terms of the Company’s tradable convertible notes in this instance. Details regarding the
background to the grant of waiver are outlined below.
As a result of the receipt of the SGX waiver, and further to the Company’s announcement on 24
December 2014 confirming the receipt of formal approval to the proposed US$50 million
reduction and amendments to the terms from the note holders, the Company will now proceed to
formalise the amendments with the note Trustee and complete the debt reduction payment at the
beginning of January 2015.
