they will drive share prize down to 0.001 c and convert other 500K than SOC will have on issue about 800 million shares and Bergen will own 60% of it. than they can do few CR ,dilute it more and more and they will have it all for very little $. Just to set up company and list on ASX cost more than 700k if you do have to pay others to do all for you.
