DRP: PFI: Minor Changes to Dividend Reinvestment Scheme
MINOR CHANGES TO DIVIDEND REINVESTMENT SCHEME
Property For Industry Limited (PFI) advises that it has amended the terms of
its Dividend Reinvestment Scheme (DRS). A copy of the updated PFI DRS Offer
Document can be viewed at
www.propertyforindustry.co.nz/dividend-reinvestment-scheme.php and will
apply from 12 February 2015.
Changes to the DRS have been made to enable PFI to comply with the Financial
Markets Conduct Act 2013 and Financial Markets Conduct Regulations 2014, as
well as to simplify the administration of the DRS. These changes are minor
and/or technical in nature and do not affect how the DRS operates. The
changes include:
- updating/removing references to applicable legislation;
- allowing PFI to modify or terminate the DRS if required to do so by law,
any applicable stock exchange listing rule or any provision of PFI's
constitution, without providing notice to participants; and
- allowing PFI to make minor amendments to the DRS where such amendments are
of an administrative or procedural nature, without providing notice to
participants.
Shareholders do not need to take any action as a result of these changes as a
participation election under the DRS will continue to apply when the DRS is
in operation.
Notwithstanding the changes, the DRS continues to remain suspended, and the
PFI board and will continue to assess whether to operate or suspend the
dividend reinvestment scheme on a quarter-by-quarter basis.
