You don't know what is in the agreement. It is just plain naive to think it's as simple as you state. I have no idea what was agreed to but I do know Peter Cooke doesn't lose often. If he's saying their are grounds to contest I'm inclined to think there's going to be a fight based on more than condition precedent of shareholder approval.
