My opinion is based on the 4 February announcement which said that the register was being transferred for an ultimate listing in the US. it did not mention a dual listing, it could easily have added those two extra words but it did not.

As retail shareholder, owning US shares in your own name is straightforward if you have the patience and the inclination to go through the process of setting up an international account. For institutions, brokers and superfunds it is not so straight forward as they are governed by constitutions, trust deeds and other rules that complicate things if they are not written to accommodate the holding international shares and are not willing to bear the tax and disclosure requirements that go with it.

For instance, those buying US stock need a complete a W-8BEN form for the US internal revenue service (IRS) and meet their requirements.

When my shareholding in ex-ASX listed Biota transferred to the US, many others who held it in their super funds (for example, Australian Super allows direct purchases of Australian shares but not international shares ) were forced to sell on market.

I have a Pershing LLC international account, most of the online brokers have an international trading arm, but it requires you fill in paperwork and it takes a few months for the paperwork to be processed in the US before you can trade. Many in Biota (was BTA now BOTA on Nasdaq) had to wait up to six months before they could get through the process and trade on the nasdaq.

So I am set up and ready to roll with the US listing- how about others?

This company has a bright future, but some will be forced to sell out (they are doing this now on the back of good news rather than waiting until the last minute to rush out and being scooped up by those who can readily make the transfer and trade immediately).
