On 2 February 2015, the Company announced it had entered into a short term bridging facility
with Maximilian Capital LLC for USD$800,000 to facilitate the acquisition and funding of the Texas
Oil Projects from Range. For services relating to the financing facility and Texas Oil Projects
transaction, the Company issued 80,000,000 Shares (“Financing Shares”) to a number of parties
as part of the financing, facilitation and corporate advisory fees relating to the transaction.
