Okay, that makes sense:
Adjourn the scheme meeting to make sure all transfers are recorded before the new record date.
Make the sale contingent on those shares being voted in a specific way (the discount price being sufficient consideration to make it a contract).
TPG can only increase their position through cooperative third parties.
