ST the asx may well use the term non-Ex Dir, but as i stated ASIC dont.
Fit and proper person comes to mind. but the law as per asic being a rapist, is not an offense that can stop one from being a director. however the ACCC may take a different view.
ASIC'S view is anyone who sits in/on meetings has any form of imput is acting in a Dir role.however it is hard to prove especially if the company records are not up to date or correctly noted.
