Non-executive directors are recognised under the Corporations Act and are subject to the same duties and liabilities as executive directors. It's the Wild West, the Sheriff is asleep and no one has got your back.

If the board is made up of Non-executive directors then they have to vote as a board on decisions that affect the company and these have to be minuted. As if this crowd will adhere to rules.
