Notice relating to Quotation of shares on the NZX Main Board

Auckland, New Zealand | Redmond, Washington, USA - 9 June 2015

As previously announced on 8 May 2015, Pushpay Holdings Limited (NZAX:PAY)
('Pushpay') intends to:

- cease Quotation of its shares on the NZX Alternative Market ('NZAX') in
accordance with Rule 5.4.1(b) of the NZAX Listing Rules; and
- commence Quotation of its shares on the NZX Main Board in accordance with
Rule 5.2 of the NZX Main Board Listing Rules,

(the 'Migration'). The issue of this notice is a condition of NZX's approval
for the Migration.

Pushpay confirms that as at the date of this notice:

- it is in compliance with its continuous disclosure obligations;
- it is in compliance with its financial reporting obligations (as that term
is defined in clause 20(5) of Schedule 8 to the Financial Markets Conduct
Regulations 2014);
- it is not relying on any exclusion in Rule 10.1.1(a) of the NZAX Listing
Rules to avoid or delay disclosure of Material Information, but discloses the
matters set out below in the section headed "Church Community Builder"; and
- the Independent Directors of Pushpay are:
- Bruce Patrick Gordon; and
- Graham John Shaw.

Church Community Builder

Pushpay is intending to enter into a new referral contract with Church
Community Builder, currently expected to be in the next four weeks. As at the
date of this notice, this proposed contract remains subject to negotiation
and has not been signed.

Church Community Builder is a leading web-based Church Management Software
company that caters to churches across the USA.  As stated in Pushpay's
Disclosure Document dated 14 August 2014, Pushpay already has a strategic
channel partnership with Church Community Builder and is a preferred service
provider for the giving component of Church Community Builder's Church
Management Software.

The proposed new contract is likely to involve Church Community Builder
referring merchants to Pushpay, and Pushpay paying Church Community Builder a
fee for the referral services. The value of this contract is likely to be
driven by the number of new merchants that Church Community Builder can refer
to Pushpay and it is possible that the referral arrangement, if completed,
may result in an increase in the rate of customer acquisition in the USA. As
a consequence, the existence of negotiations for the proposed contract may be
Material Information.

However, as the level of referral activity from Church Community Builder is
currently unknown, and as the commercial terms of the contract remain subject
to negotiation and are yet to be finally agreed, the dollar value or other
potential impacts of the contract cannot be accurately estimated at this
time.

Pushpay is making the above disclosure to satisfy the conditions set by NZX
to complete the Migration. While, as noted above, Pushpay currently expects
to conclude the referral arrangement within four weeks, there is no guarantee
it will do so (either within that timeframe, or at all).
