DIRECTOR: CVT: Comvita determines Independent Directors
In accordance with the Listing Rules, the Board has determined that five of
the seven directors are independent as defined in the NZX Listing Rules.
Independent Directors:
o Neil Craig
o David Cullwick
o Sarah Ottrey
o Luke Bunt
o Sarah Kennedy
Not Independent Directors because of disqualifying relationships:
o Alan Bougen - a shareholder in Comvita with 7.58% of the shares
o Ed Quilty - CEO of Derma Sciences, Inc. who own 7.08% of the shares and
has commercial agreements with Comvita.
The Board therefore determines that the majority of the Directors in Comvita
are Independent Directors, including the Chairs of the Audit & Risk, and
Remuneration & Human Resources Committees.
